ALTOUR ONE PLATFORM TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern your access to and use of the Altour One travel booking platform, including its website, mobile applications, and related services (collectively, the "Platform"). The Platform is provided by ALTOUR Delaware, LLC ("ALTOUR," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Your use of the Platform is also subject to the terms of your organization's Corporate Travel Management Agreement or similar agreement with ALTOUR (the "Client Agreement"). In the event of any conflict between these Terms and the Client Agreement, the Client Agreement shall control.

1. Eligibility and Access

The Platform is available exclusively to employees and authorized representatives of organizations that have entered into a Client Agreement with ALTOUR ("Authorized Travelers"). You must access the Platform using a valid business email address provided or approved by your organization. You represent that you are authorized by your organization to use the Platform for the purpose of booking and managing business travel.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify ALTOUR immediately at altouronecsm@altour.com if you become aware of any unauthorized use of your account.

2. Platform Services

The Platform provides Authorized Travelers with access to an online business travel booking and spend management tool. Services available through the Platform may include searching for and booking flights, lodging, rental cars, and related travel services from multiple suppliers, including content sourced through global distribution systems, direct airline connections, and third-party travel providers.

ALTOUR determines the online booking tools, global distribution systems, and travel content available through the Platform. ALTOUR reserves the right to add, remove, filter, or modify the travel content, suppliers, and functionality available through the Platform at any time.

Travel services displayed on and booked through the Platform are sold and fulfilled by third-party travel providers (airlines, hotels, car rental companies, and other suppliers). ALTOUR acts as an intermediary to facilitate the booking of these services and is not the provider of the underlying travel services. Each travel provider's own terms, conditions, rules, and restrictions apply to the travel services you book, including with respect to cancellations, changes, refunds, and baggage policies.

3. Guest Bookings

Your organization may enable a non-profiled bookings feature through the Platform ("Guest Bookings"), which permits individuals who do not have a traveler profile on the Platform to book travel. If your organization has enabled Guest Bookings, you acknowledge and agree that:

(a) Guest Bookings may present an increased risk of fraudulent or unauthorized bookings;

(b) You and your organization are responsible for ensuring that any individuals who use the Guest Bookings feature comply with all ALTOUR policies, procedures, and processes communicated by ALTOUR in connection with the feature;

(c) Your organization shall be liable for any costs, losses, and expenses resulting from the use of the Guest Bookings feature to the extent such use is within your organization's control or is attributable to the negligence of your organization or its employees; and

(d) ALTOUR shall remain responsible for any costs, losses, or damages arising from system errors, technical malfunctions, or security vulnerabilities in the Platform related to the Guest Bookings feature.

4. Booking and Payment

The Platform may require you to provide credit card or other payment information to complete a travel booking. Payment for travel services is processed by the applicable third-party travel provider or payment processor, not by ALTOUR. By providing payment information through the Platform, you consent to the transmission of that information to the applicable travel provider or payment processor for the purpose of completing your transaction.

ALTOUR is not responsible for any booking that is not confirmed or ticketed due to a credit card being declined by a third-party provider or payment processor. You are responsible for verifying that all booking details (dates, times, traveler names, and other particulars) are accurate before confirming a reservation. Service fees may apply to bookings made through the Platform as set forth in your organization's Client Agreement.

5. User Conduct

You agree to use the Platform only for the purpose of making legitimate business travel reservations and managing travel on behalf of yourself or other Authorized Travelers within your organization. You agree that you will not:

(a) Use the Platform for personal travel unless expressly permitted by your organization's travel policy;

(b) Use the Platform to negotiate prices on travel to be purchased outside the Platform;

(c) Access, use, or attempt to use the Platform in any manner that violates applicable law or ALTOUR's published policies;

(d) Reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of the Platform for any unauthorized purpose;

(e) Use any automated means (including bots, scrapers, or similar tools) to access, monitor, or interact with the Platform;

(f) Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code or underlying technology of the Platform; or

(g) Take any action that imposes an unreasonable or disproportionately large load on the Platform's infrastructure.

6. Intellectual Property

The Platform, including all software, content, designs, text, graphics, logos, and the selection and arrangement thereof, is the proprietary property of ALTOUR and its licensors and is protected by applicable intellectual property laws. ALTOUR and its licensors reserve all rights not expressly granted in these Terms. The ALTOUR name, ALTOUR ONE name, and associated logos and trademarks may not be used without ALTOUR's prior written permission.

7. Confidentiality

Travel content, pricing, rate information, and other data available through the Platform constitute confidential and proprietary information. You agree to keep all such information strictly confidential and to use it solely for the purpose of making authorized business travel arrangements through the Platform.

8. Privacy and Data Protection

ALTOUR collects, uses, and processes personal information in connection with the Platform in accordance with ALTOUR's Privacy Policy, available at https://internova.com/privacy-policy/. By using the Platform, you acknowledge that you have reviewed the Privacy Policy and consent to the collection and use of your information as described therein.

Personal information collected through the Platform may include your name, email address, contact information, travel preferences, passport and identification details, frequent traveler program information, date of birth, and payment information. This information is used to facilitate travel bookings, provide customer support, enforce travel policies, generate reporting for your organization, and improve the Platform.

ALTOUR will not sell your personal information to third parties for their direct marketing purposes. ALTOUR may share your personal information with travel providers, payment processors, and service providers as necessary to fulfill bookings and provide the Platform services, and as otherwise described in the Privacy Policy.

9. Third-Party Services and Content

The Platform may contain links to or integrations with third-party websites, applications, or services (including travel provider booking engines, calendar integrations, and messaging services). Your use of any third-party service is governed by that service's own terms and privacy policies, not these Terms. ALTOUR is not responsible for the content, privacy practices, performance, or availability of any third-party service.

10. Disclaimers

ALTOUR uses commercially reasonable efforts to ensure the accuracy of travel information displayed on the Platform, including pricing, availability, schedules, and descriptions. However, such information originates from third-party travel providers and data sources, and ALTOUR does not guarantee its accuracy, completeness, or timeliness. Prices and availability are subject to change without notice until a booking is confirmed and ticketed.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALTOUR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ALTOUR DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALTOUR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE THEORY OF LIABILITY.

ALTOUR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL SERVICE FEES PAID BY YOUR ORGANIZATION TO ALTOUR IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

NOTWITHSTANDING THE FOREGOING, NOTHING IN THESE TERMS SHALL LIMIT ALTOUR'S LIABILITY FOR (A) SYSTEM ERRORS, TECHNICAL MALFUNCTIONS, OR SECURITY VULNERABILITIES IN THE PLATFORM THAT ARE WITHIN ALTOUR'S CONTROL, (B) FRAUD OR WILLFUL MISCONDUCT BY ALTOUR, OR (C) ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

THE LIMITATIONS IN THIS SECTION DO NOT AFFECT YOUR ORGANIZATION'S RIGHTS OR REMEDIES UNDER THE CLIENT AGREEMENT.

12. Indemnification

You agree to indemnify, defend, and hold harmless ALTOUR and its affiliates, officers, directors, employees, and agents from and against any losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from (a) your breach of these Terms, (b) your violation of applicable law in connection with your use of the Platform, or (c) your negligent or wrongful acts or omissions in connection with travel booked through the Platform.

13. Modifications

ALTOUR reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and post the revised Terms on the Platform. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Platform.

ALTOUR may modify, update, or discontinue features or functionality of the Platform from time to time. ALTOUR will use reasonable efforts to provide advance notice of material changes that affect the booking experience.

14. Termination

These Terms remain in effect for as long as you have access to the Platform. ALTOUR may suspend or terminate your access to the Platform at any time if (a) you breach these Terms, (b) your organization's Client Agreement with ALTOUR is terminated or expires, or (c) your organization requests that your access be revoked.

Upon termination, your right to access and use the Platform ceases immediately. Sections 6, 7, 10, 11, 12, and 16 shall survive any termination of these Terms.

15. Customer Support

For assistance with the Platform, contact ALTOUR at altouronecsm@altour.com. ALTOUR will use commercially reasonable efforts to provide customer support during the hours specified in your organization's Client Agreement.

16. General Provisions

Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law provisions.

Dispute Resolution. Any dispute arising out of or relating to these Terms shall be resolved in accordance with the dispute resolution provisions of your organization's Client Agreement with ALTOUR. If no Client Agreement is in effect, disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of New York.

Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement. These Terms, together with the Privacy Policy and your organization's Client Agreement, constitute the entire agreement between you and ALTOUR with respect to your use of the Platform.
